Protected Health Information

When you set up an account with Female Focused you create a direct customer relationship with Female Focused that enables you to access and/or utilize the various functions of the Services as a Customer. As part of that relationship, you inform Female Focused about using the Services, and we may collect, use, and disclose information about you per our Privacy Policy.

In connection with components of the Services, Female Focused may receive certain medical information that may be protected under applicable laws, including the Health Insurance Portability and Accountability Act of 1996 as amended and its implementing regulations (collectively, "HIPAA"). Certain information provided to Female Focused by the Providers may be protected by HIPAA (this information is called "Personal Identifying Info"). Your health information may also be protected under state law. To the extent Female Focused receives Personal Identifying Info protected by HIPAA or information protected by state law, this information will be used and disclosed only as permitted by HIPAA and applicable state law. Personal Identifying Info does not include information that has been de-identified per HIPAA or information that has had all identifiers, such as your name, address, email address, etc., removed.

It governs how your Personal Identifying Info is handled and outlines your rights under HIPAA. Female Focused encourages you to review the Notices of Privacy Practices to understand Female Focused uses and disclosures and your rights for your Personal Identifying Info.

Registration: Customer Accounts, Passwords, and Security

You must register and set up an account in the Platform to access the Services. The Services are available only to registered customers who have been granted accounts with usernames and passwords. You agree to accurately maintain and update any information about yourself that you have provided to Female Focused or the Providers. Suppose you do not keep such information current or fail to submit truthful, accurate, and complete information, or we have reasonable grounds to suspect as much. In that case, we have the right to suspend or terminate your account and use of the Services. You also agree to immediately notify Female Focused of any unauthorized use of your username, password, or any other security breach that you become aware of involving or relating to the Service by contacting Female Focused at support@female-focused.com.

In addition, you agree to keep your username and password confidential and to exit your Customer account at the end of each session. Female Focused explicitly disclaims liability for all losses and damages arising from your failure to comply with this section. You may not use anyone else's account at any time, and you may not allow others to use your account to access the Services.

When establishing an account, you will be required to provide a username and password that will be used to log in to your account. You should keep in mind that the Services are run on software, hardware, and networks, any component of which may, from time to time, require maintenance or experience problems or breaches of security beyond our control. In addition, persons with access to your computer, phone, mobile, or other devices may be able to access the Services and information about you, including medical information, contained in the Services. You are responsible for affirmatively logging out of your account when you are not actively using it. It is also your responsibility to secure and prevent unauthorized physical access to your computer, phone, and other devices and to protect the confidentiality of your username and password.

You are prohibited from violating or attempting to violate the Services' security. Any such violations may result in criminal and/or civil penalties against you. Female Focused may investigate any alleged or suspected violations, and if a criminal violation is suspected, it may cooperate with law enforcement agencies in its investigations.

License to Information Submitted via the Services

Except for Personal Identifying Info, including that protected by HIPPA, or other information that is protected by law ("Protected Information"), any additional information you transmit to Female Focused via the Services, whether by direct entry, submission, email or otherwise, including data, questions, comments, forum communications, or suggestions (collectively, "Submissions"), will, to the extent permitted under applicable law, be treated as non-confidential and non-proprietary.

Subject to any applicable account settings that you select, you grant Female Focused fully paid, royalty-free, perpetual, irrevocable, worldwide, non-exclusive, and fully sublicensable rights (including any moral rights) and license to use, license, distribute, reproduce, modify, adapt, publicly perform, and publicly display, Submissions (in whole or in part) to operate and provide the Service to you and our other Customers. You agree that you, not Female Focused, are responsible for all Submissions you provide. In addition to the foregoing, Female Focused has the right, in its sole discretion, to edit, duplicate, or alter the Submission in any manner for any purpose that Female Focused deems necessary or desirable, and you irrevocably waive all so-called moral rights you may have in the Submission. You further agree that you do not have any right of approval and no claim to compensation in connection with the Submission.

Suppose a Submission you make contains Protected Information. In that case, Female Focused rights under this section for using or disclosing such Protected Information will be limited as and to the extent required under applicable law.

Conduct Guidelines

The rights granted to you under this Agreement are subject to the following conduct guidelines concerning the Website and our Services:

• You may not access the Services using a third party's account, and you will not allow others to use your account. You may not create an account using registration information that is not yours or try to impersonate another customer or person.
• You will not copy, reproduce, distribute, transmit, republish, post, publicly perform, or publicly display the Website and/or Services or any information or content made available on or through the Website and/or Services.
• You will not record, in any form or manner, any telehealth or in-person session, consultation, or Services, including but not limited to audio and video recordings and those made using artificial intelligence (AI) technologies.
• You will not license, sell, rent, lease, transfer, assign, host, or otherwise commercially exploit the Website and/or Services.
• You will not modify, translate, adapt, merge, make derivative works of, disassemble, decompile, frame, reverse compile or reverse engineer any part of the Website and/or Services.
• You will not access or use the Website and/or Services to build a similar or competitive service or application.
• You will not remove or destroy copyright notices or other proprietary markings on or in any portion of the Website and/or Services.
• You will not use scraping, data mining, robots or similar data gathering or extraction methods on the Website and/or Services and you will not collect or harvest any Protected Information, including account usernames and passwords.
• You will not create or compile, directly or indirectly, any collection, compilation, database, or directory from the Website and/or Services and/or accounts.
• You will not disrupt the Website and/or Services in any manner or impose an unreasonable or disproportionately large load on our infrastructure, such as by using methods such as denial-of-service attacks, flooding, and spamming.
• You will not upload or transmit any message, information, data, text, software or images, or other content that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, or inappropriate.
• You will not upload or transmit any material that infringes any patent, trademark, service mark, trade secret, copyright or other proprietary rights of any party.
• You will not transmit any "junk mail", "chain letter," "phishing" or "spam" or any other similar solicitation.
• You will not upload invalid data, viruses, worms, keyloggers, spyware, Trojan horses, time bombs, malicious or harmful code, or other software agents through the Website or Services.
• You will not attempt to interfere with, compromise the system integrity or security, or decipher any transmissions to or from the servers running the Website or Services.
• You will not probe, scan or test the vulnerability of our system or network or attempt to breach security or authentication measures.
• You will not hack, spam, or phish Female Focused Third Parties and/or Customers of the Website and/or Services.
• You will not use the Website and/or Services other than for their intended purposes, and You will not access or use the Website and/or Services in an unlawful way or for an illegal or illegitimate purpose.

Right to Monitor

Female Focused reserves the right to monitor the general use of the Services at any time as it deems appropriate and to remove any materials that, in Female Focused's sole discretion, may be illegal, may subject Female Focused to liability, may violate this Agreement, or are, in the sole discretion of Female Focused, inconsistent with Female Focused's goals and purpose for the Services.

Changes to Terms

We may change these Terms at any time with or without notice. We will make a best effort to notify patients of changes to these Terms or the Privacy Policy as required by law.

Miscellaneous

Our electronically or otherwise properly stored copy of these Terms will be deemed genuine, complete, current, valid, authentic, and enforceable. You agree that you will not contest the admissibility or enforceability of our copy of these Terms in connection with any action or proceeding arising out of or relating to these Terms.

Possible evidence of activity or use of the Services for illegal purposes will be provided to law enforcement authorities.

Any call made to or received from Female Focused is subject to recording for training, quality assurance purposes, or operation of Services and Content.

You agree that Female Focused and its suppliers and licensors own all rights, title, and interest in the Services and its Content, as the case may be. Acceptance of Agreement

By using the Services, you are agreeing to this Agreement. If you do not accept and agree to be bound by this Agreement, please do not use the Services.

The Services may evolve with the needs of our patients, and we reserve the right to revise or remove any part of this Agreement or the Services in our sole discretion at any time and without prior notice to you. Waiver of Jury Trial

Eligibility

This Agreement is between you and Female Focused. By accepting this Agreement, you represent and warrant to us that: (i) you are at least fourteen (14) years old; (ii) you have not previously been suspended or removed from the Services; (iii) your registration and your use of the Services complies with all applicable laws and regulations; and (iv) you are physically located in the United States and within a jurisdiction in which we offer our Services, including, without limitation, when utilizing the Services to receive telehealth consultations from one of our Providers (as defined below). Note that for those of you who are under eighteen (18), TX, FL, MI, WY, NV, and OH require parental consent to prescribe birth control.

Services Geographical Limitations

Our Services are currently available in the following states: CA, AZ, PA, NY, DE, and NJ. If we are not currently in your state, email us to let us know so we can prioritize launching in your state.

Your Relationship with Female Focused

We are a technology company that makes available to individuals who register as Customers of the Services ("Customers") specific products and services sold or offered by Female Focused, participating pharmacies ("Pharmacies") (collectively, the "Providers") or other vendors. Any services you receive from the Providers or other vendors may be subject to additional terms and conditions from those Providers or vendors.

Email Communication Security

All non-marketing/newsletter emails sent from Female Focused use current TLS encryption to secure the message so that it cannot be read by a third party while being sent over networks, including the internet. Many email providers, such as Gmail and Office 365, now support automatic TLS encryption for every email you send and receive. If your email provider does not support TLS encryption, you will receive emails from Female Focused containing a link to a secure portal to view and reply to messages.

All emails sent to us are encrypted once they reach our Providers, servers, and systems. If your email provider does not support TLS encryption, your message may not be secured and may be viewed by another party before it reaches our systems.

Patient Responsibilities

You agree to maintain a valid and correct email address on file. You agree not to use email communications for a medical emergency or crisis. You acknowledge and agree that you assume all responsibility and risk regarding the privacy and security of any email sent from an email provider that does not support TLS encryption.

Revoking Consent

You may revoke consent to communicate electronically by notifying Female Focused in writing. Revoking consent will not affect actions or communications that Female Focused has already taken based on your consent.
